THIS AGREEMENT CONTAINS:
- AN ARBITRATION PROVISION requiring binding individual arbitration for dispute resolution
- A WAIVER OF RIGHTS to bring a class action lawsuit against us
- A RELEASE OF CLAIMS for damages arising from your use of the Service, to the greatest extent permitted by applicable law
BY USING ODDSGUARD, YOU AGREE TO THESE PROVISIONS.
1. Introduction
These Terms of Service (the "Agreement") are a contract between you and OddsGuard ("OddsGuard," "we," "us," or "our") and govern your access to and use of the OddsGuard browser extension (the "Extension"), the OddsGuard website located at www.oddsguard.org and all other OddsGuard-branded websites (each, a "Website"), and other software applications and online services provided by OddsGuard (collectively, the "Service").
OddsGuard is a sports odds comparison platform that provides information about betting odds from various sportsbooks. We do not offer gambling services, accept bets, or process payments for betting activities.
Personal Use Only: The Service is for personal, non-commercial use. You agree that you are not using the Service for or on behalf of any third party, or for any commercial purpose.
2. Eligibility and Age Requirements
You must be at least 18 years old (or the legal age for sports betting in your jurisdiction, whichever is higher) to use OddsGuard. By using our services, you represent and warrant that you meet all eligibility requirements.
Our services may not be available in all regions due to local regulations. It is your responsibility to ensure that accessing odds comparison information is legal in your jurisdiction.
Age Confirmation During Extension Installation:
- Required Checkbox: You must confirm that you are at least 18 years old (or 21 where required by law) before using the extension
- Blocking: The extension cannot be used without age confirmation
- Legal Basis: Age confirmation is required to comply with gambling-related content regulations including:
- California Gambling Control Commission (21+ for advertising)
- EU Digital Services Act (age verification for high-risk services)
- Other jurisdictional requirements for gambling-related content
- Self-Declaration: Age confirmation is based on your checkbox selection; we do not perform identity verification
- False Declaration: Providing false age information is a violation of these Terms and may result in immediate account termination
3. Account Registration
To access certain features of OddsGuard, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. User Conduct
You agree not to:
- Use OddsGuard for any illegal purpose or in violation of any local, state, national, or international law
- Violate or encourage others to violate the rights of third parties
- Interfere with or disrupt the operation of OddsGuard
- Attempt to gain unauthorized access to OddsGuard or its related systems
- Use any automated means to access or use OddsGuard without our express permission
- Create multiple accounts for abusive purposes
- Scrape, collect, or harvest any data from our services beyond normal user interaction
5. Intellectual Property
OddsGuard and its original content, features, and functionality are owned by OddsGuard and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website or extension, except as generally and ordinarily permitted through the website or extension according to these Terms.
6. Third-Party Links and Content
OddsGuard may contain links to third-party websites or services, including sportsbooks and pricing platforms, that are not owned or controlled by OddsGuard. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
We do not endorse or guarantee the odds, services, or content provided by these third-party sportsbooks. Your interactions with these third parties are solely between you and them.
7. Odds and Betting Information - Important Disclaimers
⚠️ NO GUARANTEE OF BEST ODDS: While we try to locate the best available odds and compare pricing across sportsbooks, we may not always find you the best odds or deals. OddsGuard is not responsible for any missed savings opportunities, inaccurate odds comparisons, or betting decisions made based on our Service.
OddsGuard provides odds comparison and betting information for informational purposes only. We make reasonable efforts to ensure the accuracy of this information, but we cannot guarantee its completeness, reliability, or accuracy at all times.
Third-Party Information:
While we attempt to provide accurate descriptions for the odds, offers, and other information shown within or through the Service, much of the information we display is provided by third parties that we do not control. We do not warrant that the odds, betting lines, third-party sportsbook offers, or related information shown through the Service (including the Extension, Website, or notifications) are accurate, complete, reliable, current, or error-free.
No Endorsement:
The inclusion of any sportsbook, odds, or betting options within the Website or Extension at a particular time does not imply or warrant that these will be available at any other time. We do not endorse any particular sportsbook, and your choice of where to place bets is solely your own decision and responsibility.
Odds Change Frequently:
Odds and betting lines change frequently, and due to this, your viewing of odds on our platform may or may not reflect the current odds available at sportsbooks. Always verify odds directly with sportsbooks before placing any bets.
Betting Decisions:
All betting decisions are made at your own risk. OddsGuard is not responsible for any losses, damages, or negative outcomes resulting from decisions made based on information provided through our services. Gambling involves risk, and you should never bet more than you can afford to lose.
7A. Third-Party Sportsbooks and Merchant Responsibility
If you are unhappy with a sportsbook product or service, if you have issues with a bet placement, payout, account, or if you have another customer service inquiry regarding a sportsbook, you will need to contact the third-party sportsbook directly. OddsGuard is not involved in your sportsbook account, bet placements, or transactions and is not able to assist with any customer service inquiries related to those activities.
We Are Not a Sportsbook:
- OddsGuard does not accept bets or process payments
- OddsGuard does not hold customer funds or manage betting accounts
- OddsGuard does not determine or guarantee betting outcomes
- OddsGuard is not responsible for sportsbook promotions, bonuses, or terms
- Your relationship with any sportsbook is solely between you and that sportsbook
Affiliate Links:
OddsGuard may display links to third-party sportsbook websites. When you click these links and sign up or place bets, OddsGuard may receive affiliate commissions. This does not affect your odds or the terms offered by the sportsbook. These affiliate relationships help us provide the Service at no cost to you.
8. Browser Extension
Our browser extension is designed to enhance your odds comparison experience by displaying comparative odds when you visit supported sportsbook websites. By installing the extension, you agree to:
- Allow the extension to access and read content on supported sportsbook websites
- Receive updates to the extension as they become available
- Use the extension in accordance with these Terms
8.1 Extension Updates and Version Enforcement
Automatic Updates:
- The OddsGuard extension receives automatic updates from the Chrome Web Store, Firefox Add-ons, or other browser extension marketplaces
- Updates may include new features, bug fixes, security patches, and compatibility improvements
Minimum Version Enforcement:
- We may enforce a minimum extension version to ensure security and compatibility
- Grace Period: When version enforcement is implemented, users will receive advance notice (target: 7 days) before older versions are blocked
- Notifications: You will receive notifications reminding you to update
- After Grace Period: Older versions may be blocked from accessing our API services
- Your Action: Update your extension through your browser's extension management interface
- Note: Version enforcement features are currently in development
Why Version Enforcement:
- Protect against security vulnerabilities in older versions
- Ensure compatibility with our API services
- Provide access to important bug fixes and improvements
- Maintain consistent user experience across all installations
8.2 Remote Disable and Suspension
Our Right to Disable:
We reserve the right to remotely disable your extension installation for the following reasons:
Abuse and Rate Limit Violations:
- Excessive API calls that exceed established rate limits
- Automated scraping or bot-like behavior
- Attempts to overwhelm or disrupt our services (DoS attacks)
- Use of modified or tampered extension code
Terms of Service Violations:
- Creating multiple accounts for abusive purposes
- Attempting to manipulate or circumvent our systems
- Unauthorized access to protected resources
- Use of the extension for illegal purposes
Security Concerns:
- Compromised extension installation
- Suspected unauthorized access to your account
- Protection of other users' data or service integrity
Notification and Appeal:
- If your extension is disabled, you will see an error message explaining the reason
- Instructions for contacting support will be provided
- To appeal, contact support@oddsguard.org with your Installation UUID
- We will review your case within 5 business days
- False positives will be re-enabled immediately with an apology
Duration:
- Temporary Disable: May be lifted after 24-48 hours if usage patterns normalize
- Permanent Disable: Requires appeal or account review to re-enable
- IP-Level Block: May affect all extensions from the same IP address
8.3 Acceptable Use and Rate Limits
To ensure fair access for all users, we enforce rate limits on API usage:
Tier 1: Odds Comparison Endpoints (Strict)
- Normal Usage: Up to 10 API calls per minute
- Warning Threshold: 30 calls per minute (flagged for monitoring)
- Critical Threshold: 60 calls per minute (automatic review)
- Block Threshold: 100 calls per minute (automatic temporary disable)
Tier 2: Notification Polling (Lenient)
- Normal Usage: 1 poll per minute (60-second interval)
- Warning Threshold: 5 polls per minute
- Critical Threshold: 10 polls per minute
- Block Threshold: 20 polls per minute (automatic temporary disable)
What Counts Toward Rate Limits:
- Each call to
/api/resolve-sport,/api/odds, or/api/odds-by-location - Each notification polling request
- Link click tracking requests
What Does NOT Count:
- Initial extension installation
- Authentication and login requests
- Settings updates
- Data deletion requests
Legitimate High Usage:
If your legitimate use case requires higher rate limits (e.g., research, development), contact us at support@oddsguard.org with subject "Rate Limit Increase Request" including your use case description, expected call volume, and Installation UUID.
Monitoring:
- All API usage is monitored for abuse detection
- Rate limit events are logged for security purposes
- Persistent violations may result in permanent account suspension
8.4 IP-Based Access Control
IP Blocking Policy:
To protect our services from abuse, we may block IP addresses that:
- Exhibit patterns of automated abuse (bots, scrapers)
- Generate excessive traffic (DoS or DDoS attacks)
- Are associated with known malicious actors
- Originate from regions where our service is prohibited by law
Types of IP Blocks:
- Individual IP: Single IPv4 or IPv6 address
- CIDR Range: Entire IP address ranges (e.g.,
192.168.1.0/24) - Temporary Block: Expires after a set period (e.g., 24 hours)
- Permanent Block: Requires manual review to lift
Effect of IP Block:
- All extensions accessing from the blocked IP will receive HTTP 403 (Forbidden) errors
- You will see an error message: "Access denied. Your IP address has been blocked."
- The block applies to ALL installations from that IP, not just one extension
Appeal Process:
- If your IP is blocked and you believe it's an error, contact support@oddsguard.org
- Include your IP address and Installation UUID
- Explain your usage and why you believe the block is incorrect
- We will review within 5 business days
- Legitimate users will be unblocked immediately
Uninstallation:
You may uninstall the extension at any time through your browser's extension management interface.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
OddsGuard does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results obtained from using the Service will be accurate, reliable, or complete; (c) the quality of any products, services, information, or other material obtained through the Service will meet your expectations; or (d) any errors in the Service will be corrected.
Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
No advice or information, whether oral or written, obtained by you from OddsGuard or through the Service shall create any warranty not expressly made herein.
9A. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ODDSGUARD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, BETTING LOSSES, OR OTHER INTANGIBLE LOSSES.
This limitation applies regardless of the theory of liability and includes damages resulting from:
- Your access to or use of or inability to access or use OddsGuard
- Any conduct or content of any third party on OddsGuard
- Any content obtained from OddsGuard
- Unauthorized access, use, or alteration of your transmissions or content
- Betting decisions made based on information provided through our services
- Any inaccuracies, delays, or errors in the odds or information displayed
- Missed savings opportunities or odds comparisons
- Loss of bets or gambling losses of any kind
- Third-party sportsbook actions, policies, or failures
Aggregate Liability Cap: In any case, OddsGuard's aggregate liability to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) shall not exceed the amount paid by you to OddsGuard during the twelve (12) months prior to the event giving rise to liability, or one hundred U.S. dollars ($100), whichever is greater.
Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
9B. Indemnification
You agree to defend, indemnify, and hold harmless OddsGuard and its officers, directors, employees, agents, successors, licensees, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees and other legal expenses) arising out of or attributable to:
- Your use of the Service (including any betting decisions made based on information from the Service)
- Any breach of this Agreement by you
- Your violation of any law or the rights of a third party when using the Service
- Any content you submit, post, or transmit through the Service
- Your interaction with any third-party sportsbook accessed through our Service
OddsGuard reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with OddsGuard in asserting any available defenses.
10. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use OddsGuard.
11. Account Termination and Suspension
11.1 Termination by You
You may terminate your use of OddsGuard at any time by:
Uninstalling the Extension:
- Remove the extension from your browser's extension management interface
- Your Installation UUID will be soft-deleted (marked as disabled)
- You can request full data deletion via privacy@oddsguard.org
Deleting Your Account (if registered):
- Contact privacy@oddsguard.org with subject "Account Deletion Request"
- Include your email address and Installation UUID (if applicable)
- We will delete your account and associated data within 30 days
- Anonymized analytics may be retained for statistical purposes
11.2 Termination or Suspension by OddsGuard
We may suspend or terminate your access to OddsGuard, including your extension and account, for:
Immediate Suspension (Temporary):
- Rate limit violations (excessive API calls)
- Suspected bot or automated behavior
- Unusual usage patterns requiring investigation
- Security concerns (compromised account)
Permanent Termination:
- Repeated Terms of Service violations after warnings
- Fraudulent activity or attempts to manipulate our systems
- Illegal use of our services
- Harassment or abuse of other users or our staff
- Failure to update extension after grace period (for critical security updates)
Process:
- Notification: We will attempt to notify you via extension error message and/or email
- Reason: The notification will include the reason for suspension/termination
- Appeal Period: You have 30 days to appeal the decision
- Appeal: Email support@oddsguard.org with your case explanation
- Review: We will review your appeal within 5 business days
- Final Decision: Our decision after appeal is final
Effect of Termination:
- Your extension will be remotely disabled
- Your account (if registered) will be suspended
- You will not be able to install or use OddsGuard services
- Your data may be retained for legal, security, or compliance purposes
- You may request data deletion after account termination
Reinstatement:
- Temporary suspensions may be lifted after the suspension period
- Permanent terminations require appeal and successful review
- We reserve the right to refuse reinstatement for serious violations
- If reinstated, you agree to comply with all Terms going forward
11.3 Effect of Termination on Data
Your Data After Termination:
- Installation Data: Soft-deleted (marked as disabled) but retained for analytics
- Usage Analytics: Anonymized (Installation UUID removed) after 90 days
- Personal Information: Deleted upon request (GDPR/CCPA rights)
- Notification History: Deleted after retention period (7 days for guests, 1 year for authenticated)
- Uninstall Data: Retained for 2 years for product improvement
- Rate Limit Events: Retained for 30 days for abuse detection
11.4 Legal Data Retention Framework
Under GDPR Article 17(3) and similar regulations, we are legally permitted or required to retain certain data even after a deletion request. This section explains what data is retained and why.

How We Handle Retained Data:
- Anonymization: Personal identifiers (name, email, address) are removed or hashed
- Pseudonymization: User IDs are replaced with non-reversible hashes (e.g., "DELETED_USER_a1b2c3")
- Minimal Retention: Only the legally required fields are kept (e.g., transaction amount, date, status)
- Secure Storage: Retained data is stored with the same security controls as active data
- No Marketing Use: Retained data is never used for marketing or profiling
Data We DELETE Immediately Upon Request:
- Personal profile data (name, email, preferences)
- Usage history and activity logs
- Extension tracking data (Installation ID and all associated records)
- Notification history
- Session data and authentication tokens
- Any data not required for legal compliance
11.5 Your Right to Data Deletion
You may request full data deletion at any time, even after termination and even if you never registered an account. Upon request, we will:
- Immediately delete all personal data not subject to legal retention
- Anonymize any financial records that must be retained (if applicable)
- Provide confirmation of deletion within 30 days
How to Request Deletion:
- Self-Service (Fastest): Visit our Data Deletion Page and enter your Installation ID for immediate deletion
- Via Extension: Click the truncated Installation ID in the extension popup footer to copy it, then click "Request Data Deletion"
- Via Contact Form: Contact Page → Select "Data Deletion Request"
- Via Email: privacy@oddsguard.org with subject "Data Deletion Request" and your Installation ID
Finding Your Installation ID:
- Open the OddsGuard extension popup
- Look at the footer where it shows "ID: XXXXXXXX..."
- Click the ID to copy it to your clipboard
- Alternatively, it will be auto-attached when you select "Data Deletion Request" in the extension contact form
11.4 No Refunds
OddsGuard is a free service. There are no refunds for terminated or suspended accounts, disabled extension installations, or time spent using the service. If we introduce paid features in the future, refund policies will be disclosed at that time.
12. Data Collection and Privacy
12.1 Extension Tracking
By using the OddsGuard extension, you acknowledge and agree that we collect and process data as described in our Privacy Policy, including:
Installation Data:
- Unique Installation UUID (custom identifier, not Chrome's Extension ID)
- Extension version, browser type, operating system
- Installation date, last seen timestamp
- Geographic location (country and state/province only)
Usage Data:
- Sportsbook pages visited (URLs)
- Sports, events, and markets viewed
- Sport detection API calls and confidence scores
- Affiliate link clicks (bookmaker, sport, event, market)
- Notification delivery and engagement (read, dismissed, action clicked)
System Data:
- API usage statistics (rate limiting enforcement)
- Error logs and crash reports
- Performance metrics (response times, success rates)
- Rate limit events and IP blocking events

12.2 Consent to Data Collection
Required Tracking (Essential):
- Installation UUID, usage analytics, system health metrics are REQUIRED for service operation
- You cannot opt out of essential tracking while using the extension
- Essential tracking is necessary for abuse detection, system stability, and service quality
Optional Tracking (Marketing):
- Marketing notifications and promotional content are OPTIONAL
- You can disable marketing notifications in extension settings
- Disabling marketing notifications does not affect core service functionality
Your Rights:
- Access: Request a copy of your data
- Correction: Request correction of inaccurate data
- Deletion: Request deletion of your data (within 30 days)
- Portability: Request export of your data in machine-readable format
- Object: Object to certain data processing (subject to service requirements)

12.3 Third-Party Data Sharing
We DO NOT sell your data to third parties.
We MAY share anonymized data with:
- Analytics service providers (e.g., error tracking, performance monitoring)
- Hosting providers (AWS for database and API infrastructure)
- Legal authorities when required by law
We MAY share Installation UUID with:
- Sportsbook affiliates when you click affiliate links (for commission attribution)
- Only when you explicitly click a referral link
- Only the Installation UUID is shared, no personal information
We will NEVER share:
- Your email address, name, or personal information without your consent
- Your browsing history outside of supported sportsbook websites
- Your passwords, payment information, or personal messages
13. ARBITRATION CLAUSE & CLASS ACTION WAIVER
⚖️ IMPORTANT – PLEASE REVIEW AS THIS AFFECTS YOUR LEGAL RIGHTS
Arbitration. YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND US (WHETHER OR NOT SUCH DISPUTE INVOLVES A THIRD PARTY) WITH REGARD TO YOUR RELATIONSHIP WITH US, INCLUDING WITHOUT LIMITATION DISPUTES RELATED TO THIS AGREEMENT, YOUR USE OF THE SERVICE, AND/OR RIGHTS OF PRIVACY AND/OR PUBLICITY, WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION UNDER THE AMERICAN ARBITRATION ASSOCIATION'S RULES FOR ARBITRATION OF CONSUMER-RELATED DISPUTES AND YOU AND WE HEREBY EXPRESSLY WAIVE TRIAL BY JURY.
Exception for Injunctive Relief: To the extent that you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court in the State of Delaware.
DISCOVERY AND RIGHTS TO APPEAL IN ARBITRATION ARE GENERALLY MORE LIMITED THAN IN A LAWSUIT, AND OTHER RIGHTS THAT YOU AND WE WOULD HAVE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION.
Initiating Arbitration:
If you wish to begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to: OddsGuard Legal Department, via email at legal@oddsguard.org.
Small Claims Court Alternative:
As an alternative, you may bring your claim in your local "small claims" court, if permitted by that small claims court's rules and if within such court's jurisdiction, unless such action is transferred, removed, or appealed to a different court.
CLASS ACTION WAIVER: You may bring claims only on your own behalf. Neither you nor we will participate in a class action or class-wide arbitration for any claims covered by this agreement to arbitrate. BY AGREEING TO THIS ARBITRATION CLAUSE & CLASS ACTION WAIVER, YOU AND ODDSGUARD ARE GIVING UP THE RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER ON ANY CLASS CLAIM THAT EACH SIDE MAY HAVE AGAINST THE OTHER INCLUDING ANY RIGHT TO CLASS ARBITRATION OR ANY CONSOLIDATION OF INDIVIDUAL ARBITRATIONS.
You also agree not to participate in claims brought in a private attorney general or representative capacity, or consolidated claims involving another person's account, if we are a party to the proceeding.
Governing Arbitration Law:
This dispute resolution provision will be governed by the Federal Arbitration Act and not by any state law concerning arbitration. In the event the American Arbitration Association is unwilling or unable to set a hearing date within one hundred sixty (160) days of filing the case, then either party can elect to have the arbitration administered instead by the Judicial Arbitration and Mediation Services (JAMS). Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction.
Limitation on Arbitrator Authority:
Any provision of applicable law notwithstanding, the arbitrator will not have authority to award damages, remedies, or awards that conflict with this Agreement.
Time Limitation on Claims:
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of, related to, or connected with the use of the Service or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever banned.
Opt-Out Right:
If you do not want to arbitrate disputes with OddsGuard and you are an individual, you may opt out of this Arbitration Clause & Class Action Waiver by sending an email to legal@oddsguard.org within thirty (30) days of the first date you access or use the Service. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration provision.
Severability:
If the prohibition against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then all of the preceding language in this Arbitration section will be null and void. This arbitration agreement will survive the termination of your relationship with us.
14. Governing Law and Forum for Disputes
This Agreement, and your relationship with OddsGuard under this Agreement, shall be governed by the laws of the State of Delaware in the United States of America without regard to its conflict or choice of laws provisions.
Any dispute with OddsGuard, or its officers, directors, employees, agents, or affiliates, arising under or in relation to this Agreement shall be resolved exclusively as specified in the Arbitration Clause & Class Action Waiver section above, except with respect to imminent harm requiring temporary or preliminary injunctive relief in which case OddsGuard may seek such relief in any court with jurisdiction over the parties.
You understand that, in return for agreement to this provision, OddsGuard is able to offer the Service at the terms designated, with little or no charge to you, and that your assent to this provision is an indispensable consideration to this Agreement.
You acknowledge and understand that, with respect to any dispute with OddsGuard, its officers, directors, employees, agents, or affiliates, arising out of or relating to your use of the Service or this Agreement:
- YOU ARE GIVING UP YOUR RIGHT TO HAVE A TRIAL BY JURY; and
- YOU ARE GIVING UP YOUR RIGHT TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT INVOLVING ANY SUCH DISPUTE.
15. Copyright Disputes (DMCA)
We respect others' intellectual property rights, and we reserve the right to delete or disable content alleged to be infringing, and to terminate the accounts of repeat alleged infringers.
If you believe that any content on our Service infringes your copyright, please send a notice to legal@oddsguard.org containing:
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing and its location
- Your contact information (address, telephone number, and email)
- A statement that you have a good faith belief that use is not authorized
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner
16. Assignment
OddsGuard may assign, without recourse, any or all of its rights or obligations under this Agreement, including all or a portion of this Agreement to a successor entity, acquirer, or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
You may not assign or transfer this Agreement or any of your rights or obligations hereunder without our prior written consent.
17. General Provisions
Entire Agreement:
This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and OddsGuard with respect to the Service and supersedes any prior agreements, oral or written, between you and OddsGuard.
Severability:
If any portion of this Agreement is deemed unlawful, void, or unenforceable by any arbitrator or court of competent jurisdiction, this Agreement as a whole shall not be deemed unlawful, void, or unenforceable, but only that portion of this Agreement that is unlawful, void, or unenforceable shall be stricken from this Agreement.
No Waiver:
You agree that if OddsGuard does not exercise or enforce any legal right or remedy which is contained in the Agreement (or which OddsGuard has the benefit of under any applicable law), this will not be taken to be a formal waiver of OddsGuard's rights and that those rights or remedies will still be available to OddsGuard.
Survival:
All covenants, agreements, representations, and warranties made in this Agreement shall survive your acceptance of this Agreement and the termination of this Agreement, including but not limited to the provisions regarding Limitation of Liability, Indemnification, Arbitration, and Governing Law.
Interpretation:
The term "including" in this Agreement means "including but not limited to." Section headings are for convenience only and shall not be used to interpret this Agreement.
Force Majeure:
OddsGuard shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, natural disasters, government actions, labor disputes, internet service provider failures, or third-party service outages.
